Domestic LLC owners can file annual reports on the Secretary of State's website at NO COST. Annual reports are due by April 15th of each year.

Beneficial Ownership Information (BOI) Notice:

On March 26, 2025, the U.S. Department of the Treasury's Financial Crimes Enforcement Network (FinCEN) published an interim final rule that removed the requirement for U.S. companies and U.S. persons to report beneficial ownership information (BOI) to FinCEN under the Corporate Transparency Act. Through this interim final rule, all entities created in the United States (including those previously known as "domestic reporting companies") and their beneficial owners are exempt from the requirement to report BOI to FinCEN. Those companies existing outside of the United States will need to check with FinCEN regarding reporting requirements and deadlines. For more information, please check FinCEN's website here.

SCAM ALERT: Our office has recently been made aware of solicitations being sent by a service company indicating this requirement is still in effect and offering to complete this filing with FinCEN for a fee. Mississippians should check with FinCEN prior to sending any personal information and/or money to ANY entity.

The Business Services Division processes the formation of Mississippi corporations, limited liability companies, limited partnerships, and other business and non-profit entities. It also grants certificates of authority for foreign companies who wish to do business in the State of Mississippi. Liens under the Uniform Commercial Code are filed with this division.

The Business Services Division also regulates and approves all notaries public in the State of Mississippi. Mississippi Trademark applications are also registered here.
